On January 28, 2026, we announced that Stellar Bank entered into a merger agreement with Prosperity Bank to form the second largest bank headquartered in Texas. We anticipate closing will occur in the second quarter of 2026 subject to Stellar shareholder approval, receipt of required regulatory approvals and satisfaction of other customary closing conditions.

Can I conduct my banking transactions at Prosperity Bank now?
Not yet. We expect to close the transaction in the second quarter of 2026 and will provide information regarding our combined operations in the lead up to closing and as we integrate our operating systems and product. We are committed to keeping you informed every step of the way and will provide regular updates and the information to make the transition easy and transparent.
What if I currently have accounts at both Stellar Bank and Prosperity Bank?
Please continue to manage your accounts separately at each bank for now. We will provide you with information and guidance in connection with closing of the merger and as we integrate our operations.
How will this impact my FDIC-insured deposits?
There’s no impact to your deposit insurance coverage if you have funds at only one of the two banks. Your deposits continue to be insured by the FDIC, up to the standard limit of $250,000 per depositor for each ownership category.
If you have deposits at both banks, eligible deposits from each bank remain separately insured by the FDIC for a grace period of six months after the bank merger is complete. This grace period provides a depositor the opportunity to restructure their accounts, if necessary.
